- YUPiTi is software made by Veneko Media LLC. Your clients pay you directly through your own payment accounts. We never hold your money.
- You must be 18 or older to open an account. Anyone signing up for a list or leaving a review must be 13 or older.
- Monthly plans renew automatically every month until you cancel. You can cancel online, any time, in a couple of taps.
- You own your business data and can export it any time.
- Your signed agreement with us wins if anything here conflicts with it.
1. Who we are and who can use YUPiTi
YUPiTi is built and run by Veneko Media LLC, a Florida company (“YUPiTi,” “we,” “us”). These terms cover yupiti.app, the YUPiTi web board, the YUPiTi app for iPhone and Android, and the pay pages, portals and dashboards we set up for your business (together, the “Service”). “You” means the business that signs up and the people it adds to its team.
Age. You must be at least 18 and able to make a binding contract to open an account or be added to a team. People who join a business's mailing list, leave a review or try the demo must be at least 13. The Service is not directed at children, and we don't knowingly collect information from anyone under 13.
2. What YUPiTi does
YUPiTi gives your business a branded pay page, invoices, reminders, client portals, crew payouts, books and related tools. When a client pays, the payment is processed by the provider you connect, such as Square, Stripe, PayPal, Zelle, Venmo, Cash App or your bank.
YUPiTi is not a bank, a payment processor or a money transmitter. We never receive, hold or move your funds. Each payment provider has its own terms, fees and approval rules, and your relationship with them is directly between you and them.
XRP Ledger payments (XRP and RLUSD). If you turn these on, your clients send XRP or RLUSD straight from their wallet to your own XRP Ledger wallet. YUPiTi never holds your wallet's keys or secret words and never touches the funds. We only show your public address, give each invoice its own destination tag, quote the XRP amount, and read the public ledger to mark the invoice paid. Ledger payments are final: there are no chargebacks or refunds through YUPiTi, so any refund is between you and your client. XRP prices move. A quote holds for 15 minutes, and a payment that arrives after that is valued at the price when we see it. Payments sent without the right tag, to the wrong address or in the wrong token can't be matched automatically, and may not be recoverable. You're responsible for your wallet, for reporting crypto you receive as income at its dollar value, and for following the laws that apply to you.
3. Plans, automatic renewal and cancelling
- Automatic renewal. Monthly plans renew automatically each month at the price shown when you sign up, charged to the payment method you gave us, until you cancel. The price, how often you're charged and how to cancel are shown to you before you agree, and we send a confirmation with those details after you sign up.
- Cancel online, any time. Go to Settings → Your YUPiTi plan → Cancel plan (on the web board or in the app), or email hello@yupiti.app from your account email. Cancelling takes effect at the end of the month you've already paid for, and you won't be charged again. We confirm every cancellation in writing.
- Price changes. We'll tell you at least 30 days before a price change takes effect, and you can cancel before it does.
- Free trials and promotions. If a plan starts with a free or discounted period, we'll tell you when it ends and what it will cost, and remind you before the first full charge.
- Setup packages are quoted in writing. We collect 50% to start the work and the balance when your system goes live. Deposits cover work already scheduled and are non-refundable once work has started, unless your written agreement says otherwise.
- Founding prices stay locked for 12 months from launch for as long as your plan stays active. We do not take a percentage of your payments. Processor fees are charged by your processor, not by us. Text-message campaigns are billed at carrier cost.
- If you subscribe through Apple's App Store or Google Play (if we offer that), their billing and cancellation rules apply to that purchase.
4. Your responsibilities
- Give us accurate information and the brand assets, logins and approvals we need to build on schedule.
- Keep your passwords, 2-step codes and backup codes private, and turn on 2-step verification. We will never ask you for a password or a code in a text or email.
- Only invoice for lawful goods and services that your payment providers allow.
- Consent for messages. Only send marketing emails and texts to people who agreed to receive them. YUPiTi adds an unsubscribe link to every marketing email and honors STOP for texts; don't remove them. You are responsible for following email and texting laws (such as CAN-SPAM and the TCPA) for the messages you choose to send.
- Review and approve invoices, pages and campaigns before they go out.
5. What you can't do
- Use the Service for anything illegal, fraudulent or deceptive, or to send spam.
- Try to break into, overload, copy, resell or reverse-engineer the Service outside an agreement with us.
- Upload anything you don't have the right to use, or anything that infringes someone else's copyright, trademark or privacy.
- Post fake reviews or testimonials, or reviews you paid for without saying so.
We may suspend an account that puts clients, payments or the Service at risk. We will tell you why and work with you to fix it when we can.
6. Content you upload and copyright
You keep ownership of the logos, photos, videos, files and text you upload. You let us host, copy and display them only to run the Service for you (for example, to show your portal to your clients).
We respect copyright. If you believe something on YUPiTi infringes your work, follow the steps on our Copyright & DMCA page. We remove infringing material when properly notified, and we close the accounts of repeat infringers.
7. AI features
Some features can use an AI model (such as Claude or ChatGPT) that you connect with your own key. They are optional and off until you turn them on. Before a request is sent, YUPiTi removes emails, phone numbers and long numbers. AI suggestions can be wrong: read and edit them before you send anything to a client, and don't rely on them for legal, tax or financial decisions.
8. Who owns what
- Your data is yours: your clients, invoices, books and content. You can export it at any time, and we only use it to run the Service for you.
- Your brand is yours: your logo, name and creative. You let us use them to build and run your pages.
- YUPiTi is ours: the software, design system and code stay the property of Veneko Media LLC. Your plan gives you the right to use them while it is active.
Landing pages and websites we build for you are covered by your written agreement, including who owns the final design and files. With your OK, we may feature your launch on yupiti.app. You can say no or change your mind later.
9. Availability and changes
We work hard to keep YUPiTi fast and online, and we back up your data every night. Like any online service it can occasionally be down for maintenance or reasons outside our control. We keep improving the Service and may change features; if a change takes away something you rely on, we will tell you ahead of time.
10. Warranty and liability
The Service is provided “as is.” To the extent the law allows, we don't promise it will be error-free or meet every need, and we aren't responsible for your payment providers, your clients, AI output, or lost profits. Our total liability for any claim is limited to the amount you paid us in the 12 months before the claim. Nothing here limits liability that can't be limited by law.
11. Ending the Service and deleting your account
You can cancel your plan any time (see section 3), and you can ask us to delete your account from Settings in the app or by email. We can end the Service with 30 days' notice, or right away for a serious breach of these terms. Either way, we keep your data for 1 year after the end date, so you can export it or pick up where you left off, and then we delete it from our live systems. Backups roll off within 30 more days. If you ask us to delete your account, we send you an export and erase it within 30 days of your confirmation instead, unless the law requires us to keep something. While your account is active, each kind of data also has a time limit; the full list is in section 9 of our Privacy Policy.
12. Law, disputes and arbitration in Florida
Florida law. These terms are governed by the laws of the State of Florida, and this section is also governed by the Federal Arbitration Act.
Step 1: talk first. Before either side files anything, send a written notice describing the problem and what you want to hello@yupiti.app (or we'll send ours to your account email). We both try in good faith to settle it within 30 days.
Step 2: arbitration in Florida. If it isn't settled within 30 days, any dispute arising out of or relating to these terms or the Service will be decided by final, binding arbitration before a single arbitrator, administered by the American Arbitration Association under its Commercial Arbitration Rules. The arbitration takes place in the State of Florida, and either side may ask to take part by phone or video. The arbitrator's decision can be entered as a judgment in any court with jurisdiction.
Exceptions. Either side may bring an individual claim in small-claims court in Florida if it qualifies, or ask a court for an urgent order to stop misuse of the Service, intellectual property or confidential information.
One claim at a time. Disputes are brought individually, not as part of a class, collective or representative action, and an arbitrator can't combine different customers' claims without everyone's written agreement.
Opting out. You can opt out of this arbitration agreement by emailing hello@yupiti.app within 30 days after you first accept these terms. Opting out doesn't affect anything else in these terms.
Courts. Anything that isn't decided in arbitration (for example, if you opt out, or a court rules arbitration doesn't apply) goes only to the state or federal courts located in the State of Florida, and both sides agree to their jurisdiction.
13. Changes and contact
